ARTICLE I
The name of this corporation: Fox Canyon Neighborhood Association, Incorporated, a Nonprofit Corporation.

ARTICLE II
This corporation is a nonprofit PUBLIC BENEFIT and SOCIAL WELFARE corporation and is NOT organized for the private gain of any person. It is organize under the Nonprofit Public Benefit Corporation Law and for public benefit purposes.

ARTICLE III
The specific purpose of this corporation is to achieve its MISSION and VISION through the instruction and education of the neighborhood residents on subjects useful to individuals of the Fox Canyon community, such as activities related to lessen neighborhood tensions, canyon habitat preservation and conservation issues and efforts; and on City, County, State and Federal Ordinances, Laws and Regulations to combat urban decay, blight, crime and environmental deterioration, as well as, nuisance property abatement; and to set forth physical and social improvements. In addition, to organizing the residents of the neighborhood [service area] into an organization that will advance their civil, social rights and self governance with the partnership of all forms of government to bring forth improvement to Fox Canyon. Further more, to do neighborhood maintenance such as clean ups, Graffiti Paint-over, property face-lifts, tree plantings and front lawn improvements. In addition, to encourage the neighbors to work side-by-side in improving the neighborhood in general, in a friendly and peaceful way to lessen neighborhood tensions.

ARTICLE IV
The name and address, in the State of California of this corporation's initial agent, for service process is: Prince Joseph Roland Albert Sologaistoa Lopez a.k.a JOSE LOPEZ of 4916 Lantana Drive, San Diego, CA 92105-2941.

ARTICLE V
This corporation is organized and operated exclusively for CHARITABLE purposes within the meaning of IRC Section 501(c)(3) and R&TC Section 23701d. "Notwithstanding any other provision of these articles, the corporation shall NOT carry on any other activities NO permitted to be carried on
(A) By a corporation exempt from Federal Income TAX under Section 501(c)(3) of the Internal Revenue Code of 1998 (or the corresponding provision of any future United States Internal Revenue Law), or
(B) By a corporation contributions to which are deductible under Section 170(C)(2) of the Internal Revenue Code of 1998 (or the corresponding provision of any future United States Internal Revenue Law)."

ARTICLE VI
NO SUBSTANTIAL part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attemting to influence legislation. The Corporation shall not participate or intervine in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

ARTICLE VII
The property of this organization is irrevocably DEDICATED to PUBLIC BENEFIT PURPOSES. Therefore, NO part of the NET income or assets of this corporation shall ever inure to the benefit of any president of the corporation, director, officer, or member thereoff or to the benefit of any private person.

ARTICLE VIII
Upon winding up and dissolution of this corporation, after paying or adequately providing for the debts and obligations of the corporation, the remaining assets shall be distributed to a non-profit fund, foundation, or corporation which is organized and operated exclussibly for charitable, educational, religious and/or scientific purposes and which has established its TAX EXCEMPT Status under Section 501(c)(3) of the Internal Revenue Code." "However, if the named recipient is not then in existence or no longer a qualified distributee, or unwilling or unable to accept the distribution, then the assets of this organization shall be distributed to a fund, foundation, or organization which is organized and operated exclusively for the purpose which is specified in Section 501(c)(3) of the Internal Revenue Code.

ARTICLE IX
Notwithstanding any of the above statements of purposes and powers, this organization SHALL NOT, EXCEPT to an INSUBSTANTIAL degree, engage in any activities or exercise any powers that are not in furtherance of the specific purposes of this organization.
