PROPOSED BYLAW CHANGES


As reads:
Section 2: Quorum at Membership Meetings. The Association requires that at least 10 members who are in good standing with the association be present at any regularly scheduled or annual meeting in order for votes to take place or business to transact.

REPLACE with: Quorum at Membership Meetings. A quorum at regular membership meetings shall be those members in good standing present at the meeting.

Reason for change: Although over two hundred fliers are distributed in the Walnut Creek Estates the Association cannot conduct the business of the Association as often there is not a quorum present.


Section 4: Treasurer: The Treasurer shall be responsible for all funds of the Association. She/he shall receive and issue receipts for monies due and payable to the Association from any source and deposit all monies in the name of the Association in the financial institution selected by the Executive Committee. The Treasurer will prepare accurate and timely financial reports to be presented to all members at every regularly scheduled membership meeting and Executive Committee meetings. The Treasurer is responsible for assuring all bank statements and other Association records are kept neatly filed and safe. The Treasurer is responsible for assuring all residents are aware of the amount of the annual dues. The Treasurer is accountable for all expenditures of the Association and must keep good records, including receipts, to back up every transaction. Each check of the association shall be signed by two signatures. Treasurer shall prepare the check for signatures, and two other officers will sign the checks. The Treasurer shall sign checks as a last resort.

Replace lines 10 ?– 12 with: Each check will be signed by the treasurer. Checks for amounts over one hundred dollars must be signed by the treasurer and one other officer of the Association.

Reason for change: The treasurer, by the nature of the job, should be responsible for all funds received and spent by the association. Expenditures are approved by vote of the Association. Currently, some officers are not always available to sign checks. Also some billing may be a conflict of interest as is the current situation is with Officers maintaining the entrances and possibly having to sign their own checks. This change also will ensure that bills are paid in a timely manner. Currently only two officers, other than the treasurer, can sign checks which forces the treasurer to sign checks.

The above bylaw changes will be voted on at the first meeting following thirty days following the publication of this document either thru distribution to residents homes and/ or on the WCENA web site, www.neighborhoodlink/okc/wce .
