The Spring Creek Neighborhood Alliance is a non-profit and voluntary community organization founded in 2004 by Spring Creek neighbors to build community involvement, communication, and crime prevention. The S.C.N.A. organizes and promotes programs, services and activities aimed at improving the quality of life for residents within the Neighborhood Alliance.

(S.C.N.A.)

BYLAWS

The following shall be known as the bylaws of the Spring Creek Neighborhood Alliance, the bylaws are the rules of self government of the Neighborhood Alliance. These bylaws are the set of rules by which the Neighborhood Alliance operates on a daily basis and votes. If the Bylaws are found to be inconsistent with State Law, then State Law will override. Membership in the Alliance is strictly voluntary.

ARTICLE I

TERMS AND DEFINITIONS

Section 1. Name. The name of this Alliance shall be the Spring Creek Neighborhood Alliance, here after referred to as S.C.N.A.

Section 2. Territory. S.C.N.A. is located in the northeast corner of San Antonio, County of Bexar, State of Texas. Four subdivisions makeup the Alliance, Spring Creek, Spring Creek Forest, The Meadows of Spring Creek & Wood Creek. The Alliance is bounded by the following streets: Judson Road to the east, Nacogdoches Road to the south, Stahl Road to the north and Spring Land/Spring Mist to the west.

Section 3. Organized Streets/Blocks. Organized Streets/Blocks are streets and or blocks within S.C.N.A. that has a street or block Representative.


ARTICLE II

PURPOSE

The purpose of this Alliance shall be to provide a venue for the expression of the desires of the residents living within the S.C.N.A. area. S.C.N.A. shall serve as a base for communication within this community and the City of San Antonio, Texas.

S.C.N.A. supports the following goals:

1. To promote community involvement and participation.


2. To establish and maintain an adequate line of communications between the City of San Antonio and the residents of the community.
3. To provide a community voice to city staff, school personnel, and the community at large concerning the implementation of services, community needs, and events.
4. To recruit volunteers and sponsors to aid in service to the community.
5. To generate, through fundraising activities, revenue for the purpose of enhancing the quality of life in the area.
6. Improve safety of the streets through better traffic control.
7. Establish mutual protection and safety.


ARTICLE III

MEMBERSHIP AND MEETINGS

Section 1. Eligibility. In order to be Eligible for Membership, a person must be at least 18 years of age and reside within the boundaries of the Alliance.

Section 2. Membership. Membership and voting privileges shall be conferred upon any Eligible person. One vote per residents.

Section 3. Regular Meetings. S.C.N.A. meeting shall be held once a month. Meetings shall be open to all S.C.N.A. members and invited guests. Announcements for meeting will be distributed via e-mail, the Alliance WEB site and flyers for those who do not have electronic access.

Section 4. Special Meetings. If extreme circumstances require special action before the next scheduled meeting, a Special Meeting may be called by the President, or by the Vice President and one of the other Officers.

Section 5. Voting Method. Voting may be done through a show of hands or verbal assent.

Section 6. Quorum. No vote of the Membership shall be valid unless at least 10% of the membership is present. In the event of a tie the President shall cast the deciding vote.


ARTICLE IV

OFFICERS

Section 1. Elected Officers. The positions of President, Vice President, Secretary, and Treasurer shall be filled by Membership elections.

Section 2. Term of Office. The term of office shall be one year, to be elected each January.

Section 3. Vacancies. In the event that an office becomes vacant, the remaining Officers may designate a temporary substitute to serve the remainder of the term. At the next scheduled meeting, the Membership shall vote to approve the designated substitute or select another.

Section 4. Compensation. Officers shall not receive any salaries for their services. Neither Officers, nor members of their immediate families, may be employed by the Alliance or receive compensation for services provided to the Alliance.

Section 5. Duties of the President. The President shall coordinate all Alliance activities and preside at meetings of the Alliance. Assumes general charge of the day-to-day administration of the Alliance. Helps the Secretary prepare the meeting agenda, and to begin and close the meeting. Leads orderly discussions by tactfully and politely enforcing rules that offer every member a chance to speak for/or against a motion. Determines whether or not enough members (a quorum) are present to conduct business. Informs people about how the meeting will proceed. Reviews the agenda and explains each motion before it is voted upon. Shall
appoint any special committees necessary for the operation of the Alliance business, and shall act as official spokesperson for the Alliance. Votes to break a tie.

Section 6. Duties of the Vice President. The Vice President shall assume the duties of the President in the absence of the president. Assumes duties as defined or assigned by the president.

Section 7. Duties of the Secretary. The Secretary shall take the minutes of each meeting and keeps a permanent, accurate record of what has taken place in meetings, responsible for the accurate update of the Alliance web site and e-mail. Prepares written minutes and reads a summary of the minutes at every meeting. Responsible for the accurate recordings of all attendees at the General & Special meetings.

Section 8. Duties of the Treasurer. The Treasurer shall be custodian of the Alliance funds and supervise the handling of funds of the Alliance. Keep proper financial records. Present a written report each month of the month’s disbursements and the balance on hand. All checks shall require signatures of any two of the following officers: President, Vice-President, Secretary, or Treasurer.

ARTICLE V

COMMITTEES

Section 1. Scope. Committees are formed for the purpose of delegating work on specific projects relevant to the Alliance and residents.

Section 2. Membership. Any eligible member may serve on a Committee.

Section 3. Committee Chairman. Any S.C.N.A. Member may be elected to serve as the Chairman of a Committee. Elections may occur at any Regular or Special Meetings.


ARTICLE VI

STREET/BLOCK REPRESENTITIVE

Section 1. Eligibility. Any Eligible member may volunteer to be a Street/Block Representative.

Section 2. Duties. All Street/Block Representatives shall be responsible for delivering, in a timely fashion, the monthly flyer and other notices to all residences within their respective areas, and shall bring any relevant issues to the attention of the Membership.


ARTICLE VII

DISSOLUTION OF ASSETS

The property of S.C.N.A. is irrevocably dedicated to education, preservation, maintenance, and enhancement of the community. No part of the Alliance income shall be used for the benefit of any Member of the Alliance or its Committees. Upon dissolution of this Alliance, any assets remaining after payment of debt and liabilities shall be distributed to the United Way or other foundations so directed by the Membership.



ARTICLE VIII

SPECIAL PROVISION

Section 1.

These bylaws shall become effective upon approval of two-thirds of the membership present at the Neighborhood meeting.

Section 2.

Other provisions of these bylaws not withstanding: officers may be elected immediately following approval of the bylaws and shall serve until new officers are elected and installed in accordance with the provisions of Article IV.

Section 3.

The beginning of a calendar year shall be the time for electing officers and balancing financial records.



ARTICLE IX

AMENDMENT OF BYLAWS

These bylaws may be amended at any Neighborhood meeting of 10% of the membership or more by a two-thirds vote of the members constituting a quorum provided that the amendment(s) has been submitted in writing to the membership at the previous meeting.
