ARTICLE 1. NAME
The name of this association shall be the Salisbury Oaks Neighborhood Association

ARTICLE 2. PURPOSE
The Association is created to ensure the interests and concerns of residents of the area are addressed in a manner which will best serve the neighborhood as a whole. The Association will give the neighborhood a voice and identity in dealings with City Government.

ARTICLE 3. BOUNDARIES
The area represented by the Association shall be all properties located within the area having a northern boundary of Grand Avenue between the west side of 38th Place and up to 44th Street, a southern boundary of River Oaks Drive, a western boundary including all properties with a 42nd Street address and all properties on 43rd Street plus all of Greenwood up to 45th Street, and an eastern boundary of the west side of 38th Place (and an imaginary line running south from the end of 38th Place to the intersection with River Oaks Drive). This includes all properties between the Greenwood Historical Neighborhood and the Linden Heights Neighborhood and not included by those Neighborhood Associations.

ARTICLE 4. MEMBERSHIP
Section I- Membership in the Association is open to all persons who subscribe to the purposes of the Association and are residents, land owners or members of the business community within the boundaries defined above and represent the social, economic and ethnic makeup of the area.
Section 2 - Any person who is eligible for membership in the Association may become a member upon filing application with the Association indicating such person's desire to become a member of the Association. Membership shall be contingent upon remaining current with annual dues. Each adult member of the Association shall be entitled to one vote on each matter submitted to a vote of the members. Non-resident members representing a business or other eligible organization shall not be allowed more than one voting membership.


ARTICLE 5. MEETINGS OF MEMBERS
Section I - Annual Meeting. An annual meeting of the members shall be held during the month of January or February each year, with the exact date, time and place to be established by the board of directors, for the purpose of electing directors and transacting such other business as my come before the meeting.

Section 2 - Quarterly and Special Meetings. Three quarterly meetings of the members shall be held in addition to the annual meeting. The board of directors may call special meetings of the members.

Section 3 - Place of Meetings. The board of directors may designate any place within Polk County, Iowa as the place of meeting for any annual, quarterly or special meeting.

Section 4 - Notice of Meetings. Notice of the meetings will be given at least 10 days prior to the meeting.

Section 5 - Manner of Acting. A minimum of 12 members must be present at any annual, quarterly or special meeting of the Association for action to be taken.

Section 6 - Minutes of all board of director meetings shall be available at all general membership meetings or shall be posted to the Website at least 24 hours in advance of the general membership meetings. The minutes of the latest meeting shall be available on the Website for at least 2 months after the general membership meeting at which they were voted upon.

Section 7 - A portion of the general membership meeting shall be devoted to membership inquiries about the board's activities and to membership suggestions.

Section 8 - Votes of the membership shall be carried by a majority of those present. Only members present may vote.

Section 9 - Open meetings. All business or general membership meetings will be open to the public.

Section 10 - Non-members and Non-residents must identify themselves as Non-members and/or Non-residents when addressing the membership (either verbally or in writing) so that those members not aware of the person's status, can be adequately informed. Non-members and Non-residents are not eligible to put forward a motion, or 2nd a motion. They are not eligible to vote. Additionally they will not serve as Board Members, committee members or committee chairs or
co-chairs. Non-members and Non-residents will not be included on the membership list or mailing list(s).


ARTICLE 6. BOARD OF DIRECTORS
Section I - The board of directors shall exercise all powers vested in it by the general membership and shall be responsible for the business of the Association.

Section 2 - The board of directors shall consist of four persons (the officers of the Association), elected by the Association. Directors shall be elected for a term of two years, and can only serve for a total of three consecutive terms.

Section 3 - The officers of the board of directors and the Association shall be President, Vice President, Secretary and Treasurer.

Section 4 - A majority, but not less than 3, of the board of directors shall constitute a quorum and an affirmative vote of the majority of all directors shall be required for approval of any action; provided however, for a majority of the board to take action on any item, advance notice of that agenda and the proposed action must be given to all members of the board and any action that is an expression of policy taken by the board without membership ratification shall specifically represent itself as board action.

Section 5 - Regular meetings. The board of directors meeting shall be held at least quarterly. Special meetings may be called by the President or by written requests of three members of the board. The purpose of the meeting shall be stated in the notice to board members at least two days in advance of the meeting.

Section 6 - Members of the board of directors are expected to attend meetings. Members missing three consecutive meetings without excused absence may be replaced on the board unless the board, by majority vote, permits the members to remain.

ARTICLE 7. ELECTIONS
Section 1 - The nominating committee shall be composed of not more than five members appointed by the president with the approval of the board of directors. The President of the Association shall name the Chairperson of the committee.

Section 2 - The nominating committee shall secure consent of its nominees to serve if elected.

Section 3- The nominating committee shall submit a slate of nominees for all board positions to be filled for two-year terms. The slate will be publicized to the general membership at least 14 days prior to the annual meeting. Additional nominations may be submitted by petition signed by at least 12 members of the Association and must be received by the nominating committee no later than 7 days prior to the annual meeting.

Section 4 - The nominating committee shall submit a slate of nominees to fill vacancies on the board of directors that come about between regular elections.

Section 5 - Regular elections shall take place at the annual meeting in January or February. Elections to fill vacancies that may occur between regular elections will occur at the next meeting of the general membership.

Section 6 - Officers and other members of the Board of Directors shall assume their duties immediately following the January or February annual meeting

ARTICLE 8. DUES
Annual dues will be $10.00 per adult member. Two or more adults living at the same address that have only paid one $10.00 annual due will only have one membership and therefore will only have one vote. The board and the membership will raise or adjust the annual membership dues as necessary by vote of the membership.

ARTICLE 9. APPROVAL AND AMENDMENT OF BY-LAWS
Section 1 - The by laws have been amended and approved by a majority vote.

Section 2 - Subsequent amendment of the bylaws shall require an affirmative vote of 60% of members present at the general membership meeting.
