NWHPOA Background

According to documents filed with the Mississippi Secretary of States Office, the Northwood Hills Property Owners Association (NWHPOA), Incorporated has been filed (filed on June 15, 1998) and is in good standing with the State. Therefore, since June 15, 1998 the State of Mississippi has recognized the existence of NWHPOA.

The first officers who served on the Board of Directors were Chris Tong (President); Bill Adkins(Vice President); and Christine Ashwell (Secretary/Treasurer). Both Bill Adkins and Christine Ashwell have moved. Although a board was formed no official functions were performed which included no collection of dues.

On June 23, 2007 a volunteer committee was formed to address property owners’ questions regarding the association, as well as to put together a list of pros and cons for electing officers for the association.

A second meeting of the property owners was held at City Hall on July 7, 2007 to discuss the pros and cons for electing officers for the tion. At this meeting the volunteer committee agreed to look at the restrictive covenants, the articles of incorporation, the bylaw, and specific questions that were sent to the volunteer committee for answering. The volunteer committee put together a question and answer document that addressed the concerns raised by property owners. The volunteer committee also collected funds in the amount of $200.00 from committee members and paid Michael P. Hensley, Attorney at Law, the $200.00 as his fee, to complete a legal review of the Northwood Hills Subdivision and NWHPOA, Inc. documents, including, but not limited to, Plats, Covenants, Bylaws, and Articles of Incorporation. Mr. Hensley also reviewed the Question and Answer document that was provided by the volunteer committee. This Q & A document, identified as NWHPOA Questions & Answers_20070726 is posted under Community Pages on this Web Site. This Q & A document was also mailed out to all property owners.

A third meeting of the property owners was held at City Hall on August 11, 2007 to discuss the NWHPOA and to elect a Board of Directors. Personnel elected to serve on the Board were
David Criger; Art Gandy; Jimmy Hall; Russell Lee; Mike Norris; Walter Scott; and Jay Swindle.
In a Board of Directors meeting held on September 8, 2007 the Board elected the following
Board Members to serve as Officers of the Board. Art Gandy (President); Mike Norris (Vice President); David Criger (Secretary) and Russell Lee (Treasurer).

A fourth meeting of the property owners was held at City Hall on November 10, 2007 to discuss the NWHPOA and to cast votes on whether the association would remain in tact or be dissolved.
A total of 64 votes were received by the Board of Directors to dissolve the association. This
total was far less than the two-thirds (2/3) of the total of the votes, in person or by proxy, that was necessary to dissolve the association.
