Amended Bylaws of the Linden Heights Neighborhood Association


Article 1
NAME

The name of the Association shall be The Linden Heights Neighborhood Association.

Article 2
PURPOSE

The purpose of the Association is to enhance the quality of life in the Linden Heights community.

Article 3
BOUNDARIES

The boundaries of the area represented by the Association shall be all lots adjacent to Foster Drive, Glenview Drive, Woodlawn Drive or Park Hill Drive in Des Moines, Iowa.

Article 4
MEMBERSHIP

Section 4.1 Membership in the Association is open to all homeowners whose lots fall within the boundaries of the area represented by the Association.

Section 4.2 Any person who is eligible for membership in the Association may become a member upon filing application with the Association indicating such person’s desire to become a member of the Association and remain current with annual dues. Each adult member of the Association shall be entitled to one vote on each matter submitted to a vote of the
members. (i)

Article 5
MEETINGS OF MEMBERS

Section 5.1 Annual Meeting. An annual meeting of the members shall be held during the month of September in each year with the exact date, time and place to be established by the Board of Directors, for the purpose of electing Directors and transacting such other business as may come before the meeting. (ii)

Section 5.2 Quarterly and Special Meetings. Three quarterly meetings of the members shall be held in addition to the annual meeting. Special meetings of the members may be called by the Board of Directors.

Section 5.3 Place of Meetings. The Board of Directors may designate any place within Polk County, Iowa as the place of meeting for any annual, quarterly or special meeting of the members.

Section 5.4 Notice of Meetings. Notice of the meetings will be given at least ten days prior to the meeting.

Section 5.5 Manner of Acting. A minimum of 15 members shall be present at any annual, quarterly or special meeting of the Association at which action is taken.

Section 5.6 Minutes. Minutes of all Board of Directors meetings shall be available at all general membership meetings. Copies of the minutes of the latest meeting shall be available for members to keep.

Section 5.7 Inquiries and Suggestions. A portion of the general membership meeting shall be devoted to membership inquiries about the Board’s activities and to membership suggestions.

Section 5.8 Votes of the Membership. Votes of the membership shall be carried by a majority of those present, unless otherwise required by law.

Article 6
BOARD OF DIRECTORS

Section 6.1 The Board of Directors shall exercise all powers vested in it by the general membership and shall be responsible for the business of the Association.

Section 6.2 The Board of Directors shall consist of 11 persons, including the officers of the Association, elected by the Association. Directors shall be elected for a term of two years and can serve for only a total of three consecutive terms.

Section 6.3 The officers of the Board of Directors and the Association shall be President, Vice President, Secretary and Treasurer, which shall be elected by the Board of Directors to serve one-year terms.

Section 6.4 A majority of the Board of Directors shall constitute a quorum and an affirmative vote of a majority of all Directors shall be required for approval of any action.

Section 6.5 The Board of Directors’ meeting shall be held at least quarterly on a regularly scheduled date not less than 30 days before each quarterly meeting of members, without other notice than these by-laws. Special meetings may be called by the President or by written request of four members of the Board. The purpose of the call shall be stated in the notice to members at least two days in advance of any special meeting.

Section 6.6 Members of the Board of Directors are expected to attend all meetings of the Board. Members of the Board missing three consecutive meetings of the Board of Directors may be replaced by the Board unless the Board, by majority vote, permits the member to remain.

Section 6.7 Members of the Board of Directors are expected to attend general membership meetings.

Article 7
ELECTIONS

Section 7.1 The nominating committee shall be composed of not more than five members appointed by the President with the approval of the Board of Directors. The chairman of the committee shall be named by the President.

Section 7.2 The nominating committee shall secure consent of its nominees to serve if elected.

Section 7.3 The chairman of the committee shall present a list of nominees to the Board of Directors and the general membership during August each year.

Section 7.4 The nominating committee shall submit a slate of nominations for all Board positions to be filed for two-year terms. The slate will be provided to the general membership prior to the annual meeting. Additional nominations may be submitted by petition and must be received by the nominating committee no later than seven days prior to the annual meeting. (iii)

Section 7.5 The nominating committee shall submit a slate of nominations to fill vacancies on the Board of Directors that come about between regular elections.

Section 7.6 Regular elections shall take place at the annual meeting in September. Elections to fill vacancies that may occur between regular elections will occur at the next meeting of the general membership.

Section 7.7 Officers and other members of the Board of Directors shall assume their duties immediately following the September annual meeting.

Article 8
DUES

Annual dues shall be $40.00 per household. (iv)

Article 9
APPROVAL AND AMENDMENT OF BY-LAWS

Section 9.1 The By-laws, when first presented to the general membership, may be amended and approved by a majority vote.

Section 9.2 Subsequent amendment of the By-laws shall require a three-fifths majority vote of those present at the general membership meeting.



(i) On Sept. 9, 2006 the membership voted to interpret Sect. 4.2 to mean each member-household shall be entitled to one vote on each matter submitted to a vote of the members.
(ii) On Sept. 9, 2006 the membership voted to change the date of the annual meeting from February to September.
(iii) On Sept. 9, 2006 the membership voted to eliminate the 12 member petition requirement for additional nominations.
(iv) On Sept. 9, 2006 the membership voted to raise the annual dues from $25 to $40 per household.
