By-Laws Summary for Membership

Membership
1. Membership – open to all residents, property owners and business licensees located with the boundaries of CCNA.
2. Dues must be current to be a member
3. The membership is one per household.

Funding
1. Annual dues will be set forth by a resolution of the Board of Directors.

Meetings:
1. At least two general membership meetings a year. All members must have 7-day notice.
2. One of the meetings shall be the annual meeting for:
• President shall report the state of the Association
• The Treasurer shall give an annual financial report
• Elections for members of the Board shall be held
3. Special meetings can by called by president or a majority of the Board of Directors as deemed necessary.

Quorum
1. Must be a majority vote of those members present at any meeting.

Board of Directors
1. 5-9 Members – 2-year term of office as Board member.
2. Vacancies on the Board will be filled by majority vote of the Board.
3. Board to meet at least 4 times a year – open session to all members but only Board members can vote.
4. A quorum shall be fifty percent plus one of the Board members.
5. Decisions shall be made by majority vote.
6. Board will vote in their 4 officers each year following the annual election
7. Officers are President, Vice President, Secretary, and Treasurer.

Committees
1. The following standing committees:
Code and Crime Enforcement
Grievance
Membership
Public Relations/Newsletters
2. The President, with the agreement of the Board, can establish other (ad hoc) committees as deemed necessary to transact the business of the Association.
3. The chairman of all the committees shall be appointed by the President with the agreement of the Board.
