Misinformed Owner Accuses Board of Meeting Illegally

During the Executive Session of the Board of Directors Meeting, an owner entered the room and asked if we were holding an Executive Session. We informed him that we were, indeed, in an Executive Session. The misguided owner proceeded to inform us we were meeting illegally.

After the Executive Session ended, the Board moved to the regularly scheduled meeting in a larger room. Before the meeting could begin, again, the misguided owner stood and made a statement that we were violating the law by meeting privately in an Executive Session.


Arizona Revised Statues, Title 33, Chapter 16, Article 1 33-1804

Paragraph A which applies to this situation reads as follows:
33-1804. Open meetings: exceptions
A. Notwithstanding any provision in the declaration, bylaws or other documents to the contrary, all meetings of the association and board of directors are open to all members of the association and all members so desiring shall be permitted to attend and listen to the deliberations and proceedings except that, for regular and special meetings of the board, association members who are not board members may not participate in any deliberation or discussion unless expressly so authorized by a vote of the majority of a quorum of the board. Any portion of a meeting may be closed only if that closed portion of the meeting is limited to consideration of one or more of the following:
1. Employment or personnel matters for employees of the board or the association.
2. Legal advice from an attorney for the board or the association.
3. Pending or contemplated litigation.
4. Pending or contemplated matters relating to enforcement of the association's documents or rules.

Experienced Board Members

Pat Prince, the current President of the Superstition Foothills Community Owners' Association, served nine years on an HOA in Scottsdale AZ prior to moving to Gold Canyon. She served several years as President in addition to V-Pres., Secretary, & Treasurer.

Don Cline is the Vice President of our Association. Don is also an experienced HOA board member; he also has served as President of his association.

Bob Benjamin is Secretary and he, too, is an experienced board member. Bob has ten years of experience with HOA's during which he served two years as President and also as Treasurer.
Both Dave Kaubisch and Elece Maguire are CPAs. They bring a great deal of experience to the Board especially in the financial area. Both are experienced in business operations and have served on various boards.

The Board wants to assure all owners that we are very well aware of the Arizona Revised Statutes and their application to the operation of our Community Owners Association.
