Article I - Name and Location

1. The name of this organization shall be South Beacon Hill Neighborhood Council ("SBHNC"), a nonprofit organization
incorporated in The State of Washington, with geographic boundaries of I-5 to the west, Colombian Way to the north, MLK Way to the east, and the Seattle City limits.


Article II - Objectives

1. The objectives of SBHNC shall be:
A. To inform those living and working within the neighborhood described above as to events, actions, etc., which may effect the neighborhood.
B. To represent the neighborhood, concerning issues, activities, etc., which SBHNC, by motions passed at scheduled meetings, sees fit to take and present positions to the cognizant bodies which have governance over the events, actions, etc., described above.


Article III - Membership

1. Qualifications
Anyone who works or lives within the boundaries described above.
2. Member in Good Standing
Anyone who has attended at least one meeting in the past calendar year.


Article IV - Dues and/or Assessments

1. The membership may require annual dues, which requirement will require 2/3 of the votes cast on such a motion.
2. The membership may make assessments from time to time, which will require 2/3 of the votes cast on such a motion.


Article V - Meetings

A. General Meetings
1. General Meetings of SBHNC shall occur on the first Wednesday of January, March, May, July, September, and November. The meeting will occur on the second Wednesday of those months where the first Wednesday is a holiday.
2. All General Meetings will conduct business following Robert’s Rules of Order, with a schedule, agenda, etc.
3. Additional General Meetings may be called by the President at the request of at least six members.

B. Organizational Meeting
1.. The Organizational Meeting of SBHNC shall precede the General Meeting in November.
2. The Organizational Meeting is charged with selection of officers for the coming year. After the vote for officers, a General Meeting will ensue.





Article VI - Officers

A. Terms - The terms of all officers shall be for one calendar year.
B. Eligibility - Any member is eligible for all offices.
C. Nominations - Nominations may be made from the floor by any member.
D. Elections - All Officers shall be elected by simple majority of those present.
E. Offices
1. President
2. Secretary-Treasurer
3. Officers at Large(If desired)
F. Board of Directors - The elected officers and the previous three Presidents shall constitute the Board of Directors.
G. Vacancies - Vacancies in any elected office shall be filled by the Board of Directors by majority vote.


Article VII - Duties of Officers

A. President
The President shall serve as presiding officer at General and Organizational Meetings. If a vacancy occurs, the President shall organize and preside over the Board of Directors meeting to select the new officer, who will serve to complete the term of the vacant office. Should the vacancy be the office of President, this activity shall devolve to the Secretary/Treasurer.
The President shall prepare the agenda, issue meeting notices, and in such manner as appropriate, shall seek the maximum turnout at General and Organizational Meetings.
B. Secretary/Treasurer
The Secretary/Treasurer shall maintain the records of SBHNC, both fiscal and proceedings.
C. Officer at Large
The Officer at Large shall perform such functions as the President may assign.


Article VIII - Board of Directors

The Board of Directors shall act only upon the resignation, injury, or death of any officer. The Board of Directors will elect a member to complete the term of the officer so displaced.


Article IX - Dissolution

A two-thirds majority vote of all Members In Good Standing is required to pass any resolution of dissolution. Any action of dissolution must conform to all prevailing laws. In the event of dissolution, all assets of SBHNC shall be distributed to one or more regularly organized and qualified tax exempt organizations in the City of Seattle.


Article X - Amendments

A. These bylaws may be amended by a tow-thirds vote of all Members in Good Standing in attendance at any General or Organizational Meeting
B. These bylaws reflect the legal and binding basis for SBHNC existence.
