According to the Declaration we have no elected Board of Directors now and have not had any since Dec.31, 2008. No association business can be done without Board of Directors, legally. We are not ousting any Board of Directors, they ousted themselves Dec. 31,2008 by not having a election in Dec 2008.
We MUST elect Board of Directors each year.
In the past there has been a misunderstanding on voting to elect Board of Directors. I believe Article III, section 4 of the By-Laws explans the voting process. We have no Board of Directors, we have no Quoram. You can still elect Board of Directors without a Quoram, if needed. Board of Directors are elected by a Majority Vote of Members present at a meeting, not by 2/3 votes of the Members of the Association. No attorney needed.
BY-LAWS Article III
Section 4. Majority Required and Quoram.
a). A majority of the votes of Members present at a meeting at which a quorum is present shall be sufficient for the transaction of all business of the Association. A majority of the Directors shall constitute a quorum for the transaction of business.
Now you know we must elect Board of Directors as soon as possible. The Members must be present at the election meeting to vote. The Members must be eligible to vote. Since this election will be for Board of Directors for 2010, you must have paid your 2009 dues by 11/1/09 to be eligible to vote. There may be other reasons in the Declaration, you can not vote??
If for some reason we don't elect (5) Board of Directors at the first election, the association can and will be shut down ( with a court order) until we elect (5) Board of Directors. We should stop association business NOW with or without a court order. It is illegal for the Association to do bussiness without Board of Directors.
The Association needs your help. The Association needs (5) Board of Directors. In order for someone to help the Association they will need volunteers. I have some volunteers now, but not enough. If you want to volunteer send your information to me by e-mail or phone before Monday August 23, 2010.
