BYLAWS and ARTICLES of ASSOCIATION

 ARTICLE I – NAME


The name of this organization shall be the Oak Haven Heights Neighborhood Association (OHHNA).


ARTICLE II – PURPOSE


The purpose of the Oak Haven Heights Neighborhood Association is to provide an organized framework to promote, preserve, protect, and enhance the quality of life and values in the Oak Haven Heights neighborhood by:

  1. Extending opportunities to residents, landowners, entrepreneurs, and other interested parties through education about neighborhood and community affairs and local topics of immediate interest;
  2. Elevating and promoting neighborhood pride;
  3. Advising in the safety, maintenance, improvement, and use of the Oak Haven City Park;
  4. Promoting a sense of pride and identity among the association members;
    Establishing a direct line of communication with city, county and state governments;
  5. Advising on available funding and programs designated for the betterment and improvement of the neighborhood;
  6. Providing a forum for the airing of grievances; and
  7. Familiarizing residents, landowners, and entrepreneurs about the association and its purposes.


    ARTICLE III - NEIGHBORHOOD LOCATION


    The neighborhood is defined as those lots in Unit 1, Unit 2 and Unit 3, of the subdivision known as Oak Haven Heights which is physically located on the East side of US Highway 281 North, in the City of San Antonio, Bexar County, Texas, and consists of approximately 438 lots.


    ARTICLE IV – OFFICE


    The association’s principal office and mailing address shall be the residence of the Association President. The Executive Committee may designate another location at its discretion. The Association  may rent a post office box, to which all notices, dues, and correspondence should be directed.

     

    ARTICLE V – POLICIES


    Section 1. The OHHNA shall be a nonpartisan organization and shall not support candidates for public office. The Association may take positions on issues. All action appropriate to sustain an approved OHHNA position must be authorized by the Executive Committee before the President or the President’s representative may so act.


    Section 2. The Association shall never be operated for the primary purpose of profit and no part of its net earnings or membership shall be used to the benefit of private individuals.


    ARTICLE VI – MEMBERSHIP


    There shall be two categories of membership in the Association: Regular and Associate.


    Section 1. A Regular member of OHHNA shall be any dues-paying person eighteen or over residing within Unit 1, Unit 2 or Unit 3 of Oak Haven Heights subdivision. Regular members shall have the privilege of the vote. To be eligible to vote, a Regular member must be in good standing for a minimum of thirty (30) days immediately preceding the vote.


    Section 2. An Associate member of OHHNA shall be any dues-paying person eighteen or over, firm or corporation who  maintains an interest in the Association and its purposes. Associate members shall have the privilege of the floor but no vote.


    ARTICLE VII - SOURCES OF REVENUE


    Section 1. Annual dues for each category of membership shall be recommended by the Executive Committee and approved by a majority vote of the members in attendance at the meeting in which a dues change is considered. Dues shall be paid by December 31 for the following calendar year.  Dues paid after the November meeting shall be applied to the following year.


    Section 2. OHHNA may engage in fund raising activities related to its purposes. The Executive Committee may accept on behalf of the Association any contribution, gift, bequest, or device for the general purposes or for any special purpose of the Association.

     

    ARTICLE VIII – MEETINGS


    Section 1. Regular meetings of OHHNA shall be held at least semi-annually - May and November, and may be held more often as determined by the Executive Committee. Special meetings may be called by the President or any five (5) Regular members. Notification, stating the place, day and hour of any meeting shall be provided to all members at least ten (10) days  but not more than twenty-five (25) days before the meeting.


    Section 2. The Regular members present at a meeting shall constitute a quorum. Voting will be limited to one vote per Regular member/residence.


    Section 3. At any meeting of members, a member entitled to vote may vote by proxy executed in writing by the member or by his/her duly authorized attorney-in-fact. No proxy shall be valid after eleven (11) months from the date of its execution, unless otherwise provided in the proxy. A written proxy shall consist of the following as a minimum: the member’s typed or printed name, address, signature, date of signature, and the name of the person to whom they are giving the proxy.


    Section 4. The Executive Committee shall meet as needed, usually on a quarterly basis. These meetings shall be open to interested members of the Association.


    ARTICLE IX - EXECUTIVE COMMITTEE


    Section 1. The seven officers of the Association, the immediate Past President, and the Committee Chairpersons shall constitute the Executive Committee of the Association.  All members of the Executive Committee shall be heard on matters before the Committee. However, only the seven elected officers of the Association are voting members of the Executive Committee.


    Section 2. The Executive Committee shall supervise the affairs of the Association in accordance with its stated purposes and policies; set the agendas for the regular meetings; transact any business between meetings of the Association and report thereon at the next meeting; and make recommendations to the general membership on matters before the Association.

     

    ARTICLE X – OFFICERS


    Section 1. The officers of the OHHNA shall be the President, Vice President, Secretary, Treasurer, and three (3) Unit Directors. Each Unit Director must live within that unit.

     

    Section 2. Officers shall assume their duties in January and shall serve for one (1) year or until their successors are duly elected. Officers shall not serve in the same office for more than  six (6) consecutive terms.


    Section 3. Any Regular member of OHHNA is eligible for election or appointment to office.


    Section 4. Officers shall be elected at the November meeting by a simple majority vote of Regular members present. Proxy voting is allowed in accordance with Article VIII, Section 3.


    Section 5.  The Executive Committee  shall meet during August and submit names of Regular members to serve on a nominating committee. The President shall appoint a nominating committee of at least three (3) of these members, at least one from each unit. Within thirty (30) days of their appointment, the nominating committee shall present a slate of one or more nominees for each office  to the Executive Committee for publication to the members prior to the November meeting. Nominations from the floor shall be allowed at  the November meeting.


    Section 6. Vacancies in office shall be handled as follows:

  1. In the event the President is unable to complete his or her term, the Vice President shall become the President for the unexpired portion of the term.
  2. Vacancies in offices other than the President shall be filled for the unexpired term by the Executive Committee.
  3. Unexcused absences as determine by the Executive Committee from three (3) consecutive meetings shall constitute a vacancy of office.

     
    ARTICLE XI - DUTIES OF OFFICERS


    Section 1. The President shall be the principal officer of the Association and shall:

  1. Preside at all meetings of the Association
  2. Be the sole spokesperson for OHHNA, except that the Executive Committee may designate another member to serve in this capacity as necessary.
  3. Appoint committee members and chairpersons with the approval of the Executive Committee. Regular members may request, and the President shall appoint them to, any standing or ad hoc committee of the Association.
  4. Sign with the Secretary or any other proper officer of OHHNA authorized by the Executive Committee, all contracts and other legal documents.
  5. Serve as the Association’s primary representative to the  city wide or District 9 neighborhood association groups, except that the Executive Committee may designate another member to serve in this capacity as necessary.

    Section 2. The Vice President shall:

  1. Act as special assistant to the President and represent the President whenever so designated.
  2. Be empowered to sign any documents as authorized by the Executive Committee. This may be done in the event of an emergency, during the absence of the President, or due to the President’s inability or refusal to act.
  3. Maintain a current roster of membership, indicating the name, address, telephone numbers, email addresses, privacy preferences, and membership classification of each member. Distribution of printed rosters shall be restricted to Regular members. Members have the right to exclude their listing in the published roster.
  4. Perform all such duties as requested by the President or Executive Committee.


    Section 3. The Secretary shall:

  1. Keep minutes of the proceedings of all meetings of the Association.
  2. Preserve in file all records of value to the Association.
  3. Sign with the President all contracts and legal documents.
  4. Be responsible for preparing the Association’s newsletter and other publications.
  5. Maintain a list of potential members and their demographic data.
  6. Maintain a list of social media members.
  7. Conduct the correspondence of the Association.
  8. Perform such other duties as requested by the President or Executive Committee.

     

    Section 4. The Treasurer shall:

  1. Have charge of all funds of OHHNA and their deposit in a financial institution in OHHNA’s name as approved by the Executive Committee.
  2. Pay all bills and disburse funds as authorized by the Executive Committee. Checks will be signed by the President, or in his absence the Vice President, and the Treasurer.
  3. Present financial status reports at each meeting.
  4. Keep itemized and complete records of all receipts and expenditures in a permanent file.
  5. Perform such other duties as requested by the President or Executive Committee.
  6. Communicate payment of dues and years of members to the Vice President.

     Section 5. Unit Directors representing Unit 1, Unit 2 and Unit 3 shall:

  1. Represent their Unit on the Executive Committee.
  2. Distribute the Association’s publications to their Unit.
  3. Provide advice and assistance in carrying out OHHNA activities.
  4. Perform such other duties as requested by the President or Executive Committee.

    Section 6. Each officer shall deliver to his or her successor within fifteen (15) days after retiring from office, all records, papers, and other property belonging to the Association.

    Section 7. No  Executive Committee member shall receive compensation for any service he may render to the Association. Any  Executive Committee member may, however, be reimbursed for his actual expenses incurred in the performance of  his duties upon approval of the Executive Committee.


    ARTICLE XII - PARLIAMENTARY AUTHORITY


    The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern all proceedings of the Association.

     
    ARTICLE XIII – AMENDMENTS


    These bylaws may be amended by a two-thirds (2/3) affirmative vote of the Regular members present and voting at a regular meeting, provided that notice of such an amendment has been given to the membership at a previous regular meeting. A full text of such an amendment shall be mailed or delivered to all members at least ten (10) days prior to the date on which the amendment will be voted.


    ARTICLE XIV – DISSOLUTION


    OHHNA may be dissolved in the same manner as the procedure outlined in Article XIII, provided that the disbursement of all monies and properties be acted upon prior to dissolution, and in accordance with the requirement of the Texas Non-Profit Corporation Act then in existence.

    ARTICLES OF ASSOCIATION
    OF
    OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION


    ARTICLE I


    The name of the non-profit neighborhood ASSOCIATION shall be OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION.


    ARTICLE II


    The purpose of this ASSOCIATION is to establish, maintain, and operate a neighborhood ASSOCIATION dedicated to providing an organized framework to promote, preserve, protect, and enhance the quality of life and values in the subdivision known as Oak Haven Heights, including Unit 1, Unit 2, and Unit 3, which is physically located on the East side of US Highway 281 North, in the City of San Antonio, Bexar County Texas, and consists of approximately 438 lots.


    The residents have organized this ASSOCIATION as a result of their concern.


    The ASSOCIATION shall be controlled and maintained by elected officers, who must be residents, and shall consist of a President, Vice President, a Secretary, a Treasurer, and three Directors each of whom is a resident of and will represent one of the three subdivision units. The meetings, appointment of committees and the description of their duties is governed by Robert’s Rules of Order and the procedures to be used in the election of the officers shall be by a majority vote, during a meeting called for that specific purpose and this ASSOCIATION shall be governed by the By Laws to be adopted by the members.


    Additionally, these members of the ASSOCIATION shall not profit from such ASSOCIATION except for those benefits which will be mutually derived by membership in the association.


    The ASSOCIATION is an attempt by the concerned residents in the subdivision to present a unified front in protecting the value and appearance of the property of all the members in such ASSOCIATION and in the subdivision.


    This ASSOCIATION is also organized by the residents to engage in such other activities as may be to the mutual benefit of the owners of property in Oak Haven Heights.


    ARTICLE III


    The members of OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION shall be limited to residents who shall be admitted to membership in the ASSOCIATION by payment of annual fees and/or any other fees which may be assessed by the ASSOCIATION and voted upon by the membership and as accepted by the officers of the OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION.


    ARTICLE IV


    This ASSOCIATION shall exist until such time as a majority of the membership then existing, vote to dissolve the association.


    ARTICLE V


    On the 12th day of August, 1995, the first meeting of the residents was held and, the following officers were duly elected by a majority of the residents present:

    ARTICLE VI


    The OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION shall be managed by the officers duly elected who shall have duties as prescribed under the By Laws which may be amended, altered, or rescinded by the membership at any membership meeting wherein it is specifically noticed that the By Laws are to be amended or altered.

     

    ARTICLE VII


    Amendments to these Articles of ASSOCIATION or By Laws may be proposed by any member of the ASSOCIATION and may be adopted by a majority vote thereof.
    In witness whereof the undersigned have subscribed their names respectively to the Articles of ASSOCIATION of OAK HAVEN HEIGHTS NEIGHBORHOOD ASSOCIATION a non-profit ASSOCIATION, on this 12th day of August, 1995.
