Upcoming election of officers

I would ask that one of the board members please help me to understand the current makeup and terms of the present board. The ''original board'' consisted of 6 members of which one(Mr. Davis) served his entire term. I believe Mr. Leslie will complete his term this October. The other four members resigned for personal reasons but they were replaced, or not, with elections or by appointment. My confusion comes with the appointments. When appointed does the member ''inherit'' the total term of the person he replaces i.e.1, 2 or 3 years?

If a person is chosen/picked to replace someone serving a 3 year term but has only served 9 months does he/she inherit the position for 2 years and 3 months without ever being ''elected'' by the association? Thus, my confusion on how we are to elect TWO board members and how and who will remain on the board although they were never elected. In addition, a seventh board member was appointed earlier this year. How long is his/her term to serve on the board?

Any clarification on this subject will be appreciated on this matter and maybe help others who might also have similar concerns.

Elections

I am not sure if I am the person to answer you as I certainly get confused on the process myself! The way that I understand it the term of the directors is staggered so that each year there will be an election of two officers. That way there should always have seasoned directors remaining on the board. An appointment for a director can be made by the president for a one year term. When there is a vacancy of an unexpired term, the person filling that term will stay on the board for the rest of the unexpired length of time.
Bylaws on Directors

Article 4 Section 3. Removal......In the event of death, resignation or removal of a director, his successor shall be selected by the remaining Members of the Board and shall serve for the unexpired term of his predecessor.

Article 4 Section2....and at each annual meeting thereafter the Members shall elect two directors for a term of three years.

Article 8 Section 4. Special Appointments. The board (NOT THE PRESIDENT) may elect such other officers as the affairs of the Association may require each of who shall hold office for such period, have such authority, and perform such duties as the Board may, from time to time determine.
