HIGHLAND PARK NEIGHBORHOOD ASSOCIATION
BY-LAWS
Article I – NAME

The name of this organization shall be the Highland Park Neighborhood Association.
The mailing address shall be P. O. Box 10210, San Antonio, Texas 78210-0210.

Article II – BOUNDARIES

The Association shall be bounded on the North by Interstate Highway 10; on the East by Clark Avenue; on the South by Fair Avenue; and on the West by Interstate Highway 37.
Persons who live within these boundaries are considered to be residents of the area represented by the Highland Park Neighborhood Association. All others are considered non-residents.

Article III – PURPOSE

The general purpose of the Highland Park Neighborhood Association is the protection, preservation, and development of the Highland Park Neighborhood. The Association will provide a forum for the residents of the area to express themselves in areas of mutual and city-wide concern with an emphasis on active participation. The Highland Park Neighborhood Association hopes to achieve these goals by:

• Promoting a spirit of involvement and cooperation among the various members of our community;
• Encouraging residents, landlords, and commercial establishments alike to maintain and improve their property to the benefit of the total community;
• Evaluating the various needs of our community and addressing ourselves to them;
• Providing a clearinghouse for exchange of cultural, historical, social, and service information concerning our area;
• Encouraging the City of San Antonio to properly maintain the areas under its responsibility as well as cooperating with the city in the maintenance and enhancement of Highland Park and other open spaces;
• Maintaining an active interest and participation in city projects and programs with potential impact on our area and advising residents of current programs established to be of assistance to communities such as our own;
• Fostering a sense of pride in our community and thereby improving its overall image and condition.

Article IV – POLICY

This Association will seek the active participation of all persons within its boundaries. This Association shall never be operated for the primary purpose of profit, and no part of its net earnings or fees shall be used to the benefit of private individuals. No money shall be paid to support any political campaign, and this Association shall be apolitical in nature. The Association may engage in fund-raising activities to meet operating and special project expenses.

Article V – MEMBERSHIP

Both residents and non-resident, as set forth in Article II of these By-Laws, who are current on annual membership dues according to Article VI, are active members. All active members who reside in Bexar County shall have all the privileges of membership, including voting, holding office, serving on committees, and speaking on the floor at membership meetings.
Each individual member, business member, and each member (age 12 or older) of a family with household membership may cast one vote.

Article VI – DUES

Section 1
Annual dues shall be $5.00 per family household; $3.00 for individual and $25.00 per business member. All businesses that spend more than $25.00 per year to advertise in the Association newsletter will also be considered business members.
Section 2
Annual membership dues will be due on the 1st day of October of each year.

Article VII – MEETINGS

This Association shall hold regular general membership meetings on the second Saturday of each month, at 10 a.m. in the James E. Bode Recreation Center within Highland Park, 900 Rigsby Avenue at South Gevers Street. A vote of the Board of Directors may cancel a monthly meeting if circumstances warrant. All meetings are open to the public.

Article VIII – BOARD OF DIRECTORS


The Board of Directors shall be comprised of: President, Vice-President, Secretary, Treasurer, five Directors elected by the membership and the immediate past-president. The Board of Directors shall supervise the affairs of the Association in accordance with the stated purposes and policies. The Board of Directors shall meet monthly at a time and place selected by the President to discuss the Association’s business and to set forth an agenda for the following general membership meeting.

Article IX – DUTIES AND RESPONSIBILITIES OF OFFICERS
Section 1
The President shall:
• Preside at all meetings of the organization.
• Call special meetings at his/her discretion and with the approval of a majority of the Board of Directors.
• Have the ability to sign all warrants/checks on the treasury of the organization.
• See that the regulations of the organizations are enforced.
• Carry out assignments and instructions given to him/her by vote of the organization.
• Perform such other duties as customarily pertain to the office of the President.
• Appoint standing and special committees’ chairperson with the approval of a majority of the Board of Directors.


Section 2
The Vice-President shall:
• Aid the President and in case of the absence or disability of the President, shall assure and perform the duties of the President.
• Chair the Program Committee.
• Perform such other duties as customarily pertain to the office of the Vice-President.


Section 3
The Secretary shall:
• Keep record of the proceedings of all meetings.
• Seek approval of the minutes from the general membership and Board of Directors meetings at the meeting that follows their transcription. Minutes may be read at the meetings or printed in the monthly newsletter after approval.
• Issue notices of all meetings and agenda, after consultation with the President.

Section 4
The Treasurer shall:
• Collect all fees and dues.
• Render an accounting each month or more often if required, of all receipts and expenditures.
• Pay the bills of the organization and upon order or warrants signed by the President.


Article X – NOMINATIONS AND ELECTIONS

Section 1
At the October general membership meeting nominations shall be made by a committee consisting of two officers not seeking re-election, plus three members selected by the general membership at the September general meeting. Additional nominations may be made at the time of the election. All nominees must be current active members.

Section 2
Officers and five Directors shall be elected by a simple majority of those current dues paying members in attendance at the November meeting for the term of one year, to commence in January.

Section 3
Officers are: President, Vice-President, Secretary and Treasurer. No officer shall serve more than two consecutive terms in the same office. Vacancies in office shall be handled as follows:
• In the event of death, resignation or incapacity of the President, the Vice-President shall become the President for the unexpired term.
• Vacancies in office other than the President, and on the Board of Directors, shall be filled for the unexpired term from the general membership by the Board of Directors.
• Unexcused absences from three consecutive meetings shall constitute a vacancy of the office.

Article XI – STANDING AND SPECIAL COMMITTEES

At the direction of the President and/or Board of Directors, any committee may be formed that serves to carry out the goals and objectives of the Association.

Article XII – AMENDMENTS

These By-Laws may be amended by a two-thirds affirmative vote of the active members present, and voting at a regular meeting, provided that notice of such an amendment has been given to the general membership at a previous regular meeting. A full text of such an amendment shall be mailed to all members at least ten days prior to the date the amendment shall be constituted.

Article XIII – DISSOLUTION

The Highland Park Neighborhood Association may be dissolved in the same manner as the procedures outlined in Article XII, provided that the disbursement of all monies and properties be acted upon prior to dissolution, and in accordance with the requirements of the Laws of the State of Texas.

Adopted by a majority of the membership at the regular scheduled meeting held on 14th day of September, 2002.
