BY-LAWS

ARTICLE OF THE ASSOCIATION

ARTICLE I: Objective of the East Braintree Civic Association

It will be-the objective of the East Braintree Civic Association (hereafter referred to as the association) to work towards a better community, and to advance the interests of all residents. This Association will not be affiliated with any political party and will not engage in business for profit.

ARTICLE II: Membership of the Association

The membership of the Association will be open to any individual or group that has an interest in promoting the goals and objectives of Article I.

Article III Officers
1. The officers of the association shall be: chairman, vice-chairman, secretary, treasurer, and a ten (10) member executive board.
2. Nomination and election of officers shall be at the Annual meeting, following notice to the membership.
3. Officers shall be elected for a period of one (1) year.
4. The chairman shall preside and preserve order at all meetings. He/she shall also enforce all rules and regulations.
5. The Vice-chairman shall act in the absence of the chairman.
6. The secretary shall keep a true record of all proceedings of the association.
7. The treasurer shall safeguard all funds.
8. The executive board shall conduct all business of the association when the membership is not in session. It shall receive and make recommendations on all subject matter of the association.

Article IV Meetings
1. The membership meeting shall be held monthly except as directed by th members. No meetings shall be held during the summer months. Special meetings maybe called as deemed necessary by the board.
2. Annual Meeting of the membership shall take place in October.

Article V Dues
Dues will be collected annually. Individual and family memberships shall be $5.00.

Article VI Funds
1. Funds may be distributed with the approval of two (2) officers. The treasurer shall keep a record of all transactions.
2. Special fund raising efforts must be approved by membership majority.
3. In the event of dissolution of the association, residual funds will be deposited in an approved scholarship fund.
4. For the purposes of payment of any taxes, state or federal, the fiscal year for the association will end March 31st.

Article VII Changes
Changes in these articles must be made in writing and presented to the membership. A two-thirds majority vote is required for change.


BY-LAWS

Article I Objective of the East Braintree Civic Association
It will be the objective of the East Braintree Civic Association (hereafter referred to as the association) to work towards a better community, and to advance the interests of all residents. This association is not affiliated with any political party and is not engaged in the conduction of business for profit.

Article II Membership
Membership shall be open to all residents of East Braintree and to any individual with interests in promoting the goals and objectives of Article I.

Article III Officers
1. The officers of the association shall be: chairman, vice-chairman, secretary, treasurer, and a ten (10) member executive board.
2. An executive Board not to exceed ten (10) members including officers in section one of this article.

Article IV Elections
1. Nominations and election of officers will be at the annual meeting. Prior to this meeting, this membership of record must be notified that the nominations and elections will be held.
2. All officers elected at the annual meeting will hold that office for a period of one year. They may at the next annual meeting run for re-election.

Article V Duties of the Officers
1. The responsibilities of the Chairman will be to preside over and preserve order at all meetings of the association and the Executive Board and to enforce all rules and regulations of the associations By-laws.
2. The Vice-Chairman will act as Chairman only in the absence of the Chairman and must act in accordance with section one of this article.
3. The secretary will keep a true record of all proceedings of the Association’s monthly meetings and executive board meetings. In the absence of the secretary, the Vice-chairman will take the minutes and forward them to the secretary upon his/her return.
4. The Treasurer will keep a true record of all monies and give a report at all monthly meetings as to what was collected and dispersed since the previous meeting.
5. The Executive Board will meet prior to the monthly meetings to set up the agenda and discuss and all business that is to be presented to the membership.

Article VI Meetings
1. Meetings of the association will be held monthly.
2. No monthly meetings of the association will be scheduled for the months of July and August.
3. The annual meeting of the Association will be held in October.
4. The Chairman may call a special meeting only after an Executive Board meeting in which a majority vote is in favor of such meeting.

Article VII Dues of the Association
1. Dues of the association will be collected annually with the year being September thru August.
2. As of the date of these By-laws, the dues are as follows
Individual membership $5.00
Family membership $5.00
3. Dues maybe changed only after a two-thirds vote of the membership. This vote must be taken at the annual meeting.

Article VIII Funds of the Association
1. At no time will the funds be distributed without at least a majority of the Executive Board.
2. In the event of dissolution of the Association, all residual monies will be deposited in either the Association’s scholarship fund or an approved scholarship of the Association’s choosing.
3. All fundraising must be approved by a majority of the membership.
4. For the purposes of payment of any state or federal taxes, the fiscal year for the Association will end on March 31st.

Article IX Requests for Contributions
The East Braintree Civic Association will entertain all requests for contributions.

The duties of the Executive Board and Treasurer will be as follows (re contributions):

The Executive Board will meet before it’s next regularly scheduled meeting with the Individual/Group requesting a contribution. At this time, the individual/group will present the reasons for their request to seek a contribution from the Civic Association. Upon completion of this presentation, the Treasurer will give a financial report to the Executive Board of available funds. The Treasurer will withhold one year’s operating expenses from this report.

The Executive Board then will discuss the merit of the request and vote either for or against. This vote will be presented to the full Civic Association at the next regularly scheduled meeting for a vote of final actions.

At no time will the Civic Association entertain a motion for contributions at a meeting without following this procedure.

Article X By-law Changes
1. Any changes of these By-laws must be in writing and presented to the Executive Board, before being presented to the membership.
2. The Executive Board will vote on a change proposed and report this vote to the membership. A two-thirds vote of the membership is required to make the change.
