Provided below are the ByLaws and Articles of Incorporation for the Chestnut Lake Neighborhood Association. In addition, information about the Restrictive Covenants for the neighborhood are included. BYLAWS OF THE ASSOCIATION

Article I. Name and Location:
The name of the corporation is "The Chestnut Lake Neighborhood Association, Inc.", herein after referred to as the "Association". The principal office of the corporation shall be located in Charlotte, Mecklenburg County, North Carolina 28227.

Article II. Definitions:
Association shall mean and refer to The Chestnut Lake Neighborhood Association, Inc., its successors and assigns.

The Chestnut Lake neighborhood shall consist of all lots of land located within the boundaries of the area shown on Addendum A.

Member shall mean and refer to those persons entitled to membership as provided in the Articles of Incorporation.

Article III. Meeting of Members:
The first annual meeting of the members shall be held within one year from the date of incorporation of the Association, and each subsequent regular annual meeting of the members shall be held during the same month of the year thereafter (June).

Regular membership meetings shall be held each alternate month beginning in June. At any time, membership meetings may be changed to quarterly.

Article IV. Board of Directors:
The affairs of the Association shall be managed by a Board of a minimum of ten directors who are members of the Association.

At the first annual meeting of members, in addition to the four officers (President, Vice-President, Treasurer, Secretary) who are also directors, the members shall elect a minimum of six directors for a term of one year.

No director shall receive compensation for any service rendered to the Association. However, a director may be reimbursed for actual expenses incurred in the performance of duties.

Article V. Nomination and Election of Directors:
Nomination for election to the Board of Directors shall be made by a Nominating Committee. Nominations may also be made from the floor at the annual meeting.

Election to the Board of Directors shall be by secret written ballot. At such election, the members or their proxies may cast one vote each for director position open.

Article VI. Meeting of Directors:
Regular meetings of the Board of Directos shall be held at a place determined by the Board.

Special meetings of the Board shall be held when call by the President or by any five directors after notice to each director.

A majority of the number of directors shall constitute a quorum for the transaction of business. Every decision made by a majority of the directors present at a meeting shall be regarded as the act of the Board.

Article VII. Powers and Duties of Directors:
The Board of Directors shall have power to perform functions as reasonable to accomplish the objectives and purposes set forth in the Articles of Incorporation.

It shall be the duty of the Board of Directors to keep a complete record of all corporate business and to present a statement thereof to the members at the annual meeting.

Article VIII. Officers and Their Duties:
The President shall preside at all meetings of the Board of Directors, shall see that orders and resolutions of the Board are carried out and shall sign all written instruments.

The Vice President shall act in the place of the President in the event of absence and shall exercise duties as may be required by the Board.

The Secretary shall record the votes and keep the minutes of all meetings and proceedings of the Board and of the members.

The Treasurer shall receive and deposit in appropriate bank accounts all monies of the Association and shall disburse such funds as directed by resolution of the Board of Directors, shall sign all checks and promissary notes and keep proper books of account.

Amendments:
These Bylaws may be amended at a regular or special meeting of the members by a vote of the majority of a quorum of members present in person or by proxy.

In the case of any conflict between the Articles of Incorporation and these Bylaws, the Articles shall control.

Articles of Incorporation

Article I. Name
The name of the corporation is "The Chestnut Lake Neighborhood Association, Inc.", herein after called the "Association".

Article II. Registered Office
The registered office of the corporation is located in Charlotte, NC 28227.

Article III. Purpose and Powers of the Association
This Association does not contemplate a pecuniary gain or profit to the members thereof, and the specific purposes for which it is formed are to bring together and organize members of the Chestnut Lake Neighborhood to exchange ideas and inaugurate programs and activities for the enjoyment and improvement of the neighborhood, and to have and to exercise any and all powers, rights and privileges a corporation organized under the Non-Profit Corporation Law of the State of North Carolina by law may or hereafter have or exercise.

Article IV. Finance
This corporation is a non-stock corporation and no part of the profits, if any, of the corporation shall inure to the pecuniary benefit of its members or any other person.

Article V. Membership and Voting Rights
Every adult person who resides in the Chestnut Lake Neighborhood (as defined in the Bylaws) and consents to membership shall be a member of the Association. The voting rights of the membership shall be as provided in the Bylaws.

Article VI. Board of Directors
The affairs of this Association shall be managed initially by a Board of Directors who shall be nominated and elected at the initial meeting of incorporators.

Article VII. Dissolution
The Association may be dissolved only upon signed written assent of members entitled to not less than three-fourths (3/4) of the total membership votes. Upon dissolution of the Association, other than incident to a merger or consolidation, the remaining personal property (tangible and intangible) of the Association shall be dedicated to an appropriate public agency to be used for the purposes similar to those for which this Association was created. In the event that such dedication is refused acceptance, said assets shall be granted, conveyed and assigned to any nonprofit corporation, association, trust or other organization to be devoted to such similar purposes.

Article VIII. Duration
The period of existence of this corporation is unlimited.

Article IX. Amendments
Amendment to these Articles shall require the assent of the members entitled to at least two-thirds (2/3) of the votes represented by a quorum at any membership meeting.

Chestnut Lake Restrictive Covenants

North Carolina, Mecklenburg County
Know all men by these presents, that John Crosland Company does hereby covenant and agree to and with all persons, firms and corporations hereafter acquiring any of the property described as all of the lots in the Chestnut Lake subdivision that all of said property is hereby subject to the following restrictions as to the use thereof, which restrictive covenants shall run with said property, by whomsoever owned:

a.) All lots in the tract shall be known and described as residential lots.

b.) No structure shall be erected, altered, placed or permitted to remain on any residential building plot other than one detached single family dwelling, not to exceed two and one-half stories in height, and a private garage for not more than three cars and other outbuildings incidental to residential use of the plot.

c.) No building shall be erected on any residential lot nearer any street line than the building setback lines shown on the recorded map, and with respect to a corner lot no residence shall be located nearer than twenty (20) feet to the side streetline.

d.) No fence shall or wall shall be erected on any building plot closer to any street line than the building setback line as shown upon the recorded map.

e.) No residential structure shall be erected or placed on any building plot, which plot has an area of less than eleven thousand square feet, or a width of less than seventy feet at the front building setback line.

f.) No trailer, basement, tent, shack, garage, barn or other outbuilding erected on the tract shall at any time be used as a residence temporarily or permanently, nor shall any structure of a temporary character be used as a residence.

g.) No noxious or offensive trade or activity shall be carried on upon any lot nor shall any thing be done thereon which may be or become an annoyance or nuisance to the neighborhood.

h.) No animals or poultry of any kind other than household pets shall be kept or maintained on any lot.

i.) For a single family dwelling, the ground floor area of the main structure, exclusive of one-story open porches and garages, shall be not less than 1,000 square feet in the case of a one-story structure, nor less than 800 square feet in the case of a one and one-half story structure, nor less than 700 square feet in the case of a two-story structure.

j.) For a duplex structure, the total ground floor area of the main structure of the entire building, exclusive of one-story open porches and garages, shall be not less than 1,300 square feet in the case of a one-story structure, nor less than 1,150 square feet in the case of a one and one-half story structure, nor less than 750 square feet in the case of at two-story structure.

k.) Easements for installation and maintenance of utilities and drainage facilities are reserved as shown on the recorded plot and over the rear ten feet of each lot and five feet for drainage facilities, not to exceed ten feet in width and to be located so as not to interfere with the improvements placed upon any of the lots. Grade and drainage easement shall not be regraded to obstruct the free flow of water.

These covenants are to run with the land and shall be binding upon all parties and all persons claiming under them for a period of twenty-five years from the date these covenants are recorded, after which time said covenants shall be automatically extended for successive periods of ten years unless an instrument signed by a majority of the then owners of the lots has been recorded, agreeing to change said covenants in whole or in part.

Welcome to the Chestnut Lake Neighborhood Association.

The Chestnut Lake Neighborhood Association (CLNA) was formed to promote the health and safety of the community, to organize community and social activities, and to maintain and preserve common areas in the neighborhood. The Chestnut Lake Neighborhood Association is incorporated by the State of North Carolina as a non-profit organization. Unlike some neighborhood associations, we do not require mandatory membership to join CLNA. Instead, we rely on volunteers like you and annual membership dues of $25.00 per household. Thanks to our active volunteers, we are accomplishing many things for the Chestnut Lake community.

For Health and Safety, the Charlotte Mecklenburg Police provide neighborhood statistics and advice to residents about any issues they might need to report. A community police officer is in attendance at our neighborhood meetings and available to discuss concerns. Also, CLNA continues to keep in contact with the City of Charlotte regarding traffic problems such as speed limits, stop signs and streetlights.

For socializing, CLNA has several special events throughout the year to promote the Chestnut Lake community and meet other residents. We have regularly scheduled neighborhood meetings for information and socializing. CLNA meeting signs are posted at the neighborhood entrances prior to meeting dates. We encourage neighborhood ideas and welcome your participation. Our activities are open to residents and benefit the entire neighborhood.

The upkeep and maintenance of common areas are the neighborhood’s responsibility. The landscaping program is continuing on a regular basis at the main entrance to the neighborhood. In addition, CLNA will provide assistance on city ordinances related to residential neighborhoods, such as vacant properties, lawn maintenance, abandoned vehicles, animal control, nuisance abatement, etc.
