August Annual Mtg - Electing Board Members

The Annual Meeting of the Tone Estates Homeowners Association will be
held on Monday, August 13, 2001 at 7:00 p.m. at the following location:

The purose of?  the Meeting is to conduct the following business of the association:

I.? ? ?  Vote to amend Article V of the Articles fo Incorporation to change the
? ? ? ? ? ? ?  term of directors from two years to three years, per the enclosed.?  In
? ? ? ? ? ? ?  order to pass this admendment, sixty-seven percent (67%) of the
? ? ? ? ? ? ?  membership eligible to vote, must vote favorably.

II.? ? ?  Elect four members to the Board of Directors.?  There are three current
? ? ? ? ? ? ?  directors that will be running for re-election.?  If you are interested in
? ? ? ? ? ? ?  serving on the Board please return the enclosed resume (contact
? ? ? ? ? ? ?  Property Management for the enclosure) to City Property
? ? ? ? ? ? ?  Management Company to have your name placed on the ballot.?  Further
? ? ? ? ? ? ?  nominations will be taken from the floor the night of the meeting.

It is important that all homeowners attend in order that a quorum may be
obtained to vote and hold the election.

If you cannot attend the meeting, please appoint another Tone Estates
homeowner that will be attending, or a Board member, to cast your vote by
mailing or delivering the enclosed proxy (contact Property Management for the
enclosure) to City Property Management Company at the above address.
Proxies not naming a specific homeowner will be used to establish quorum only.

NOTE:?  In accordance with the corporation CC&R's a member must be current
in the payment of assessments to validate the membership and to entitle the
member to all rights and privileges.

Record date of meeting will be August 3, 2001.

Article V, Board of Directors, which currently reads:

The affairs of the corporation shall be conducted by the Board.?  The initial Board
and each Board thereafter for so long as there is a Class B Member shall consist of at
least three Members or other Persons with the exact number to be determined by
Declarant from time to time.?  Commencing with the first annual meeting of the Members
? when there is a minimum of three and a maximum of seven directors, all of whom must
be Members (or individuals designated by corporate, partnership or other nonindividual
Members).?  The term of each director shall be for one year until there is no longer a
Class B Member.?  Thereafter, the initial terms of the directors may be for different terms
as set by the Members to obtain a staggered Board if desired by the Members.?  In
succeeding years, each director shall be elected for a two-year term.?  Until the first
meeting of the Members when there is no longer a Class B Member, and until their
successors are designated or elected and qualified, Declarant shall have the right to
appoint and remove all directors.
