Ciao Vito Good Neighbor Agreement

This Good Neighbor Plan is executed between Ciao Vito, the Concordia Neighborhood Association (hereinafter referred to as CNA) and the Vernon Community Association (hereinafter referred to as VCA), the latter two being neighborhood associations recognized by the City of Portland.
Recitals:
1. This agreement is founded on the belief that a successful business relies on the strength of the neighborhood around it, and the strength of the neighborhood lies in the responsibility and health of the businesses operating in it.
2. The parties enter into this agreement in a spirit of cooperation and to establish a mutually satisfactory working relationship.
Agreement
A. Hours of Operation
1) Ciao Vito shall close no later than 1:00 am Sunday through Saturday. Ciao Vito explicitly agrees not to operate "after hours."
2) Ciao Vito agrees to end sidewalk seating at 10:00 pm on weekdays.
B. Security
1) Ciao Vito agrees to maintain good outside lighting on the premises to discourage any illegal activity.
C. Noise and other Disturbances
1) Ciao Vito shall take steps to request that its patrons and employees be considerate of neighborhood residents with regard to parking and noise.
2.) Ciao Vito shall contact delivery trucks and garbage haulers and request no services between the hours of 11:00 p.m. and 5:00 a.m.
D. Litter, Graffiti, Waste
1.) Ciao Vito agrees to keep the area outside the business free of litter by having its employees periodically collect debris that has been dropped outside the establishment. Ciao Vito further agrees to remove graffiti from its exterior as soon as possible after its appearance.
E. Signage and Advertising
1) Ciao Vito agrees that all exterior signage on the restaurant shall be understated and in good taste. The signage existing at the signing of this agreement meets these standards.
F. Sale, Assignment, Sublease
It is the intent of the parties that this agreement is binding upon the current Ciao Vito management. Any future business that might purchase this business will be responsible for developing a new GNA with each neighborhood association.
G. Follow Up
Ciao Vito, CNA and VCA shall meet six months after the execution of this agreement and annually thereafter. These follow-up meetings shall also be opportunities for the parties to resolve any unforeseen problems which may arise from the operation of Ciao Vito.
H. Entire Agreement
This agreement contains all the terms and conditions agreed upon by the parties and shall only be modified by written agreement between the two parties.
I. Waiver
Waiver by CNA or VCA of any breach by Ciao Vito of any provision of this agreement shall not constitute a waiver of further or additional breaches of that provision or of any other provision of this agreement.
J. Problem-Solving
If a problem does arise, neighbors will first contact the C.N.A. and/or the VCA. The C.N.A. and the VCA will attempt to contact Ciao Vito’s owner to resolve the problem. The owner will work with management and neighbors to develop a plan to alleviate the concerns of the neighbors.
If this attempt is unsuccessful at resolving the concerns, C.N.A. and the VCA will contact the Crime Prevention Program for assistance with resolving the problems. Additional resources (mediation, other agencies) may be utilized to resolve the problems.
All partners recognize that if problems involve illegal activities, neighbors will contact the police to report the activity, as well as following the steps outlined above.
K. Enforcement
Both parties to this Good Neighbor Plan agree to carry out the obligations herein. If any dispute arises under this agreement, the dispute shall be brought for resolution before the City' Neighborhood Mediation Center. The Neighborhood Mediation Center shall do everything within its authority to resolve any dispute under this agreement to the satisfaction of the disputing parties.
