Carthay Square Neighborhood Association (CSNA)

By-Laws, Adopted 10-13-98


(Ratified at CSNA general meeting, 4-29-03)









I. Name. The name of the association shall be the Carthay Square Neighborhood Association (CSNA).







II. Purpose. The purpose of CSNA is to preserve and enhance the integrity, security, safety and beauty of the neighborhood, to support the Carthay Center Elementary School, and to provide for the general betterment of our community. Active participation of all residents of the neighborhood shall be encouraged.







III. Boundaries. CSNA is defined as the area from the south side of Olympic Blvd. to the north side of Pico Blvd. from the west side of Fairfax Ave. to the west side of Stearns Dr.







IV. Membership. Each resident aged 18 and over, business owner, and property owner within the CSNA boundaries shall be eligible for membership upon payment of annual dues. All dues-paying members shall be entitled to vote in person or by proxy at CSNA meetings. All persons are prohibited from using any CSNA resources for personal, professional, or political gain.







V. Dues. Dues shall be payable by each household, business owner, or property owner for the organizational year in the amount set by the Annual Meeting, but no less than $25.00. Such amount shall be the same for each household, business owner, or property owner; regardless of the size of the household, business or property. Only dues paying members are allowed to vote at meetings and sit on the Steering Committee.







VI. Organizational Year. The organizational year for CSNA membership, CSNA finances and events, officers‚ terms of office and all other related CSNA business shall be July 1st through June 30th.







VII. Meetings. (A) CSNA General Meetings shall be held a minimum of two times annually, and not exceed four times annually. The last meeting of the organizational year shall be designated as the Annual Meeting. (B) All meetings of CSNA shall be open to the public, provided that only current members may vote on agenda items and budgetary items and in elections. The current Chairperson shall be allowed to vote again in order to resolve a tie vote. (C) The official meeting place for CSNA General Meetings shall be Carthay Center Elementary School. General Meeting dates must be reserved at the beginning of the calendar year with the principal of the school, for the third Tuesday in the months of April and October, with those dates subject to change due to holiday or school conflicts. (D) Any meeting that involves CSNA business is subject to the CSNA by-laws and the Brown Act.







VIII. Steering Committee. (A) A Steering Committee shall be elected by the CSNA membership at its Annual Meeting. The Steering Committee shall consist of ten members elected by the CSNA membership. In addition to the ten elected Steering Committee Members, all Block Captains shall be eligible to become voting members of the Steering Committee. Each Block Captain shall inform the Block Captain Sub-Committee Chairperson of his/her decision to join the Steering Committee within one month after the April General Meeting Elections. The Steering Committee members will serve a one-year term beginning July 1. (B) Members of the Steering Committee shall select one of their members to serve as Chairperson. The Chairperson shall conduct the meetings of the Steering Committee as well as the General Meetings. The Steering Committee members shall also select a Vice-Chairperson, a Treasurer and a Sergeant-At-Arms. Each Steering Committee member shall participate in a Sub-Committee addressing specific topics of interest to CSNA. (C) Each Sub-Committee shall be Chaired by a member of the Steering Committee, but Sub-Committee participants may include any CSNA member. (D) A quorum of two-thirds of the Steering Committee must be present in order for the body’s decisions to be binding. (E) CSNA members may self-nominate at the Annual Meeting or submit their name prior to the Annual Meeting per the instructions provided by the CSNA Newsletter. In case of resignation or removal from office of a member of the Steering Committee, the Steering Committee may appoint a CSNA member to complete the term. (F) The Steering Committee shall hold meetings periodically throughout the year according to the needs of CSNA and these meetings will be open to all members. (G) Inappropriate behavior by a Steering Committee member, as deemed by a majority vote of the Steering Committee, can result in sanctions, including but not limited to removal from the Steering Committee.







IX. Block Captains. (A) Block Captains shall be appointed by the Chairperson of CSNA, or elected by the members of their respective blocks, at the CSNA General Meetings to serve a one-year term. (B) Block Captains shall represent their respective block at the Steering Committee meetings, shall serve as liaison between CSNA and neighborhood watch on their block and shall assist in distributing newsletters, disseminating information and surveying their respective block, as needed. (C) The blocks are defined as 1) Olympic, 2) Fairfax, 3) Pico, 4) 1000 Hayworth, 5) 1100 Hayworth, 6) 1200 Hayworth, 7) 1000 Hi Point, 8) 1100 Hi Point, 9) 1200 Hi Point, 10) 1000 Point View, 11) 1100 Point View, 12) 1200 Point View, 13) 1000 Stearns, 14) 1100 Stearns, 15) 1200 Stearns 16) Packard and 17) Whitworth.







X. Rules. Robert’s Rules of Order and/or all parliamentary procedures shall govern all meetings of CSNA and Steering Committee meetings.







XI. Communications. All official CSNA correspondence shall be approved by the Steering Committee. A post box shall be maintained by CSNA. Notice of the post box address shall be carried on the CSNA web site and included in the CSNA Newsletter. The Chairperson of the CSNA Steering Committee will be responsible for distributing the mail received.







XII. Finances. The Treasurer shall maintain records of membership dues, all other income, and disbursements. This officer shall provide an account of financial activity at each Steering Committee meeting including any current or anticipated liabilities for goods and services. An annual financial report shall be available at the Annual Meeting. Checks shall be issued only under the signature of the Treasurer and the Chairperson or Vice Chairperson. Any disbursement over $100 shall require the approval of the majority of the Steering Committee.







XIII. CSNA and the Pico Neighborhood Council (PNC).

CSNA will participate in the PNC and residents shall be eligible to vote in the PNC process to elect a representative from the CSNA district to the PNC.







XIV. Adoption and Amendments. (A) These by-laws shall be adopted by majority vote at a publicly announced meeting of CSNA. (B) These by-laws may be amended by a majority vote of the CSNA members attending a CSNA General Meeting. The entire CSNA membership shall be notified of the proposed amended by-laws.
