WEDGWOOD EAST NEIGHBORHOOD ASSOCIATION

                                   

                                    BY-LAWS

 

 

Article I - Name and Purposes

 

 

Section 1.  The name of the Association shall be Wedgwood East Neighborhood Association.

Section 2. The Association shall be non-profit and perpetual in duration.

Section 3. The purposes for the Association shall be to preserve, protect, beautify, and represent the best interest of all residents in the Wedgwood and the South Hills subdivisions within the boundaries designated by the city of Fort Worth, Texas.

 

                                                Article II - Geographical Area

The area represented by the Association is designated, "Wedgwood East," and defined as the land enclosed by the following boundaries:  Starting at the intersection of Woodway and Alta Mesa, East to McCart, North to Westcreek continuing North to Interstate 20, then West to Trail Lake going South to Woodway, continuing South to Alta Mesa.

                                                Article III - Membership

Association membership shall consist of each residential homestead within the designated boundaries, whose dues are paid and current with one vote per homestead. 

                                                Article IV - Officers

Section 1.  The Officers of the Association shall be a President, aVice-President, a Secretary and a Treasurer.

Section 2.  Nominations for Officers shall be made by a Nominating Committee of at least five (5) elected by the Board of Directors.  It shall consist of not more than three (3) members from the Board and at least two (2) Members-at-Large from the current Membership.  The Nominating Committee membership shall be announced and introduced at the first meeting of the year with suggestions for nominees invited by the membership.  The Committee will meet to elect a Chairperson and prepare a slate of Officers.   The proposed slate of Officers will be announced to the membership by Newsletter prior to the election on the 2nd meeting of the year.  Nominations from the floor may be made.

Section 3.  Officers shall be elected for a term of one year.  A majority vote of members present shall constitute election.  No Officer may hold the same office for more than two consecutive years. 

Section 4.  Officers shall normally be elected at the second regular Association meeting of the year and complete their terms on the anniversary of the following year with a new slate of Officers to be elected at that meeting.  In the event of Officers serving unexpired terms, they may be considered by the Nominating Committee for election for a first full term, along with other nominees, at the second regular Association meeting of the year.   

Section 5. All vacancies in office, except that of the President, shall be filled by the Board of Directors for the unexpired term.  Upon resignation of the President, a Nominating Committee shall be elected by the Board of Directors to select a nominee to fill the unexpired term.

                                  

Article V - Duties of Officers

Section 1.  The President shall preside at all meetings of the Association, call special meetings, appoint committee chairpersons and special committees as necessity arises and be an ex-officio member of all committees. 

Section 2.  The Vice President shall perform all the duties of the President in his/her absence and shall be in charge of programs and publicity for the Association. 

Section 3. The Secretary shall be responsible for Association correspondence, minutes, notice of meetings, member address information, newsletters and preserving records and papers of the Association.

Section 4.  The Treasurer shall receive and disburse all monies of the Association keeping an accurate record of all transactions.  An annual budget shall be proposed and approved by the Board with reports made at each meeting of the Board.

                                                 Article VI -  Board of Directors

Section 1. The Board of Directors shall consist of the Officers, the Chairpersons of Committees and other members who may be named at-large by the members of the Board.

Section 2  TheBoard of Directors shall meet at least two times a year.

Section 3. Chairpersons of Committees shall be appointed by the President of the Association.  Committees will meet as needed during the year and shall present a brief,  written report to the Board of Directors.

                                                Article VII Committees

 The following Committees shall be part of the Association.  Other Committees shall be established by the Board of Directors as needed.

Section 1.Public Service Committee: shall monitor such things as zoning, street conditions, street lights, fire or water hazards, police patrols, violation of deed or code restrictions, and any public activity deemed important to the health, wellbeing and property of the residents within the Association boundaries. 

Section 2. Membership:  shall be in charge of the membership list and promote membership through various means such as membership drive, contacting new residents, appointing and supervising Block Representatives, and other ongoing membership promotion incentives.

Section 3.Hospitality:  shall plan activities such as refreshments and greeters for Association meetings, welcome calls or gifts for new residents, contact members who have special needs, social gatherings or projects to promote community.

                                                Article VIII -  Meetings

Section 1.  The Association shall have no fewer than four meetings per year open to the entire membership and members shall be notified in advance of each meeting.

Section 2.  Special meetings or social events may be called by the Board of Directors.

 

                                                 Article IX-  Dues

            Annual dues shall be set by the Board of Directors payable to the Wedgwood East Neighborhood Association (WENA) and are renewable on the anniversary date of the following year.  Dues are not refundable.

 

Article X - Parliamentary Authority

On all points not covered by these By-Laws, Roberts Rules of Order, Newly Revised, shall be the Parliamentary authority for the Association.

 

Article XI -  Amendments

Proposed changes in the By-Laws shall first be approved by the Board of Directors.  They shall then be approved at any meeting of the Membership by a 2/3 vote of the membership present.
