Clark Pines History

Clark Pines was developed by R.D. Clark and H.H. Clark in the mid to late 1940's as a residential neighborhood, named after the developers and the area's indigenous loblolly pines.

Clark Pines Civic Association History

Clark Pines Civic Association was formed in 1991. Restrictive covenants were filed with the count clerk's office in March 1997 after being approved by a majority of the 90 homeowners. Clark Pines is a part of the Greater Heights Super Neighborhood Council.

BY-LAWS of the CPCA - A Texas Nonprofit Corporation


Article I – NAME and PURPOSE

Section 1.01: NAME. The name of this corporation shall be the Clark Pines Civic Association, Inc., hereafter referred to as the Association.

Section 1.02: PURPOSE. The Bylaws shall govern the Association and its members and facilitate the fulfillment of the purposes provided herein and in the Articles of Incorporation.

The purposes for which the Association is organized are to promote the civic and social welfare and welI-being of those certain residents and property owners living within or near that area of Houston, Harris County, Texas known as Clark Pines Subdivision, and to promote and engage in activities for their use and benefit.

The general purpose and power of the Association are to have and exercise all rights and powers conferred on non-profit corporations under the Texas Non-Profit Corporation act and other laws of Texas, or those powers which may hereinafter be conferred.

In addition to the purposes for which this Association is incorporated, the Association is further limited to such purposes as fully set out in Article 1396.201 of Vernon’s Annotated Civil Statutes.

Notwithstanding any of the above statements of purposes and powers, this Association shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purpose of this corporation.

Article II – MEMBERSHIP

Section 2.01: ELIGIBILITY OF MEMBERSHIP. Any and all individuals over 18 years of age who own property in, reside in or own a business in or near the Clark Pines Subdivision, bounded on the North by the 1800 through 2000 blocks of West 14½ th Street, on the South by 1800 though 2000 blocks of West 14th Street, on the West by White Oak Bayou, and on the East by the 1300 through 1400 blocks of Dian Street, Houston, Harris County, Texas are eligible for Membership in the Association upon full payment of the annual dues and completion of an Application for Membership form.

Section 2.02: ANNUAL DUES. Annual dues shall be payable on January 1 of each calendar year. The amount required for annual dues shall be $20 each year, unless changed by a majority vote of the members in attendance at an annual meeting of the full membership. Paid membership will entitle the Resident or Property Owner to all membership privileges for one calendar year.

Dues may, on occasion, be paid by donation of comparable products or services to the Association, by prior approval of the Officers of the Association.

Section 2.03: HONORARY MEMBERSHIP. Any eligible person, as described in Section 2.01, may acquire Honorary Membership in the Association, upon completion of an Application for Membership form. Honorary Membership entitles the person to participation in neighborhood events for one year from the date of membership. Honorary Membership does not include voting rights.


Section 2.04: MEMBERSHIP PRIVILEGES. The full payment of the annual dues will entitle each member household, excluding Honorary Members, to one vote per household in all Association elections. Board meeting attendance or board minutes are available to any member upon request.

Section 2.05: TERMINATION OF MEMBERSHIP. Membership in the Association is automatically terminated whenever the Member is in default of payment of the annual Association dues. Any paid or honorary member may also be removed by a majority vote of the membership.

Section 2.06: RESIGNATION. Any Member may resign by filing a written resignation with the Secretary of the Association.


Article III- OFFICERS

Section 3.01: OFFICERS. The officers of the Association shall be a president, vice president, a treasurer, and a secretary.

Section 3.02: ELECTION OF OFFICERS. All officers of the Association shall be elected annually at the annual meeting by a quorum of the members of the association.

Section 3.03: TERM OF OFFICE. Term of office shall begin at the close of the annual meeting and shall continue until a successor has assumed office. No officer shall hold more than one office concurrently.

Section 3.04: DUTIES. The duties of the Officers are as follows:

1) The PRESIDENT shall be the principal executive officer of the Association and shall preside over all meetings, represent the Association on public occasions and make such committee appointments from the membership as shall be deemed advisable for the effective conduct of the work of the Association.

2) The VICE PRESIDENT shall preside over all meetings in the absence of the president. This officer shall be responsible for meeting notices and publicity.

3) The TREASURER shall collect, safeguard, disburse and make periodic reports of all funds collected in the name of the Association. This officer shall present a proposed budget from the board of directors for membership approval at the first meeting of the year.

4) The SECRETARY shall keep an accurate record of proceedings of all meetings, act as custodian of current records, and file and maintain up-to-date membership lists and attendance records.

5) The duties of the Officers shall not be limited as enumerated above, but they may discharge in addition such duties as are assigned by the Association Membership.

Section 3.05: VACANCIES AND REMOVAL FROM OFFICE. A vacancy in the office of president shall be filled by a special election. A vacancy in any other office shall be filled by presidential appointment with board approval. Officers elected or appointed to fill vacancies shall assume office at the first general meeting following the election or appointment and shall hold office until the next regular installation of officers. Any officer, who fails to meet the obligations and responsibilities of his office may be removed from office by a two-thirds (2/3) majority vote of the membership.

Section 3.06: MANAGEMENT. The Association shall be managed by the Board of Directors, as described in Section 4.01, with powers consistent with the Articles of Incorporation and these Bylaws of the Association.




Article IV – BOARD OF DIRECTORS

Section 4.01: DIRECTORS. The board of directors of the organization shall be comprised of the officers of the organization and the immediate past president.


Section 4.02: DUTIES. The duties of the board of directors are as follows:

1) The President of the Association shall be the chairperson of the board of directors.

2) The Board of Directors shall set policies, evaluate projects, and act on behalf of the organization in between general meetings.

3) The Board of Directors shall meet quarterly. Special board meetings may be called by the Chairperson or by two (2) members of the board of directors.

Article V – MEETINGS OF MEMBERS

Section 5.01: PLACE OF MEETINGS. Meetings of the Members shall be held at a place the Board of Directors or a majority of the Members from time to time may select.

Section 5.02: REGULAR MEETINGS. Regular meetings of the Association shall be held quarterly on date and at a time to be designated by the Board of Directors.

Section 5.03: ANNUAL MEETINGS. An annual meeting of the Members shall be held in the month of October of each year, if possible. At such meeting, the Members shall elect the Officers of the Association, receive reports on the affairs of the Association and transact any other business which is within the power of the Members. If an annual meeting has not been called and held within six (6) months after the time designated for it, any Member may call the annual meeting

Section 5.04: SPECIAL MEETINGS. A special meeting may be called by the president or by written request of 1/3 of the members of the association. In the event of a special meeting, all members shall be notified at least ten (10) days prior to the meeting. The call shall state the purpose, the time and the place of the meeting.

Section 5.05: NOTICE OF MEETINGS. A printed neighborhood sign stating the place, day and hour of the meeting shall be placed at neighborhood cross streets and intersections. Written, printed or electronic notices will be sent to each member of record entitled to vote at the meeting. This notice shall be given at least seven (7) days before the date for the meeting, with the exception of regular quarterly meetings for which, once a firm date, time and place have been publicized to all members, no further notice shall be required.

Section 5.06: QUORUM. The majority of members present at any properly announced meeting shall constitute a “quorum” for the transaction of business at such meeting.


Article VI – VOTING

Section 6.01: VOTING. All issues shall be decided via voice, standing vote, show of hands, written ballot by a majority of members present at the meetings.

Section 6.02: SPECIAL VOTING. Where Officers are to be elected, or when changes in the Bylaws are to be decided or any other election is to be made whereby a count of all members may be desired such election may be considered by mail, distribution ballot, telephone ballot or electronic ballot in such manner as the officers of the Association shall deem advisable.


Article VII – COMMITTEES

Section 7.01: AUTHORIZATION TO ESTABLISH COMMITTEES. The Association may establish
committees as deemed necessary to pursue its stated objectives. Chairpersons of these committees shall be appointed by the president, with approval of the board of directors. Committee members shall be appointed by the committee chairperson.

Article VIII – FINANCES

Section 8.01: EXPENDITURES. Expenditures of funds amounting to over Two Hundred Dollars ($200) in any month, not included in the approved budget, must be approved by majority vote of the Membership at a properly announced meeting of the Membership.

Section 8.02: FINANCIAL REPORTS. Financial reports shall be prepared by the Treasurer and presented to the Members at the quarterly and annual meetings.


Article IX – AMENDMENTS

Section 9.01: PROCEDURE. These by-laws may be amended at any general meeting of the organization, provided that amendments have been submitted in writing at the previous regular meeting.

Section 9.02: ACCEPTANCE OF AMENDMENTS. The adoption of the amendment shall require a two-thirds (2/3) vote in the affirmative of the members present at a properly announced meeting.

Article X – PROCEDURE

SECTION 10.01: PROCEDURE. The Standard Code of Parliamentary Procedure shall be authorized for procedure in all points of order not covered by these by-laws.
